ENHANCE Institute provides independent structural evaluation and design-related analytical services for climate projects, investment portfolios, corporate disclosures, and institutional frameworks. These terms define the nature, scope, and limits of those services.
ENHANCE operates without a financial stake in the outcomes of the projects, portfolios, companies, or institutions it evaluates. A positive structural assessment does not increase ENHANCE's compensation, and a negative structural assessment does not reduce it.
Evaluation outputs reflect the structural properties of the documented design or disclosure record — not the preferences of the instructing party, implementing entity, funding institution, investor, or other stakeholder.
ENHANCE's fee structure does not vary based on evaluation outcomes.
ENHANCE's structural evaluation services assess whether a documented architecture satisfies the structural conditions required for outcome delivery, risk absorption, value realization, or climate-finance alignment.
Evaluation outputs constitute independent structural intelligence. They do not constitute legal advice, financial advice, investment recommendations, regulatory guidance, engineering certification, or assurance under any statutory audit standard.
Clients should obtain independent legal, financial, technical, regulatory, or investment advice before acting on ENHANCE evaluation outputs.
ENHANCE does not guarantee, predict, or imply the likelihood of approval by the Green Climate Fund, any multilateral development bank, bilateral development finance institution, public agency, private investor, standard-setting body, or other funding institution.
Structural integrity is a necessary but not sufficient condition for institutional approval. Approval decisions involve political, strategic, administrative, fiduciary, procedural, and institutional criteria that lie outside the scope of ENHANCE's structural evaluation.
ENHANCE does not communicate with funding bodies, investors, or public authorities on behalf of clients unless separately agreed in writing.
ENHANCE's evaluation does not replace the due diligence obligations of Accredited Entities, National Designated Authorities, implementing organisations, investors, lenders, insurers, public agencies, or funding institutions.
ENHANCE provides an independent analytical layer that operates alongside — not instead of — standard institutional review, fiduciary assessment, safeguard review, legal review, technical appraisal, investment due diligence, or regulatory compliance processes.
ENHANCE's evaluation frameworks — including VERA™, ToC:f(x)™, C-FAIR™, VORTA™, and related analytical architectures — are proprietary deterministic instruments.
Public documentation of framework principles is available through ENHANCE's working papers, public reports, and methodological summaries.
Certain methodological materials may be made available under non-disclosure agreement to verified institutional partners. Core scoring kernels, calibration parameters, threshold logic, source code, internal prompts, extraction protocols, and model execution architecture remain proprietary and may not be disclosed except under separate written institutional licensing arrangements expressly approved by ENHANCE.
Evaluation outputs are prepared for the instructing party's internal decision-support purposes unless otherwise agreed in writing.
Public quotation, redistribution, reproduction, publication, submission to third parties, or representation of ENHANCE findings requires prior written consent from ENHANCE.
Clients may not represent ENHANCE outputs as approval guarantees, funding recommendations, credit ratings, audit opinions, legal certifications, or investment advice.
Clients, partners, interpreters, contractors, and third parties may not use ENHANCE outputs, report structures, scoring categories, terminology, model labels, analytical patterns, engagement materials, or structured evaluation results to reverse engineer, replicate, imitate, reconstruct, derive, or train competing analytical frameworks.
No engagement grants access to ENHANCE's underlying model architecture, source code, calibration logic, weighting system, threshold design, extraction protocols, or internal analytical procedures unless expressly stated in a separate written licensing agreement.
ENHANCE retains all rights, title, and interest in its frameworks, methodologies, model architectures, terminology, report templates, analytical structures, visual systems, software tools, scoring logic, and associated intellectual property.
No engagement transfers ownership, license rights, reproduction rights, modification rights, sublicensing rights, or derivative-use rights except as expressly stated in writing.
Engagement materials exchanged between ENHANCE and the instructing party are subject to ENHANCE's Privacy & Data Handling principles and any applicable engagement-specific confidentiality agreement.
Where a signed NDA or engagement agreement provides stronger confidentiality protections than these general terms, the signed agreement prevails.
ENHANCE's structural evaluations are produced with professional care and methodological rigour. However, evaluation outputs are analytical instruments, and their use remains the responsibility of the instructing party.
To the maximum extent permitted by law, ENHANCE shall not be liable for decisions made by the instructing party or third parties on the basis of evaluation outputs, including funding decisions, project restructuring decisions, investment allocations, lending decisions, insurance decisions, policy actions, procurement decisions, or public communications.
ENHANCE shall not be liable for indirect, consequential, incidental, special, punitive, or reputational damages arising from the use, interpretation, redistribution, or misuse of evaluation outputs.
Engagement-specific scope, deliverables, fees, timelines, confidentiality obligations, permitted use, and publication rights are established through written agreement before services commence.
In the event of conflict between these general terms and engagement-specific written terms, the engagement-specific written terms prevail.
ENHANCE welcomes questions about engagement scope, methodology boundaries, confidentiality arrangements, and licensing terms before any commitment is made.
